Equalize Terms of Use

These Terms of Use (“Terms”) govern the access to and use of the Equalize application, website, features, content, and related services (the “Platform” or the “Service”), provided by TECSEM Tecnologia em Sistemas Embarcados, a legal entity registered under CNPJ No. 37.290.675/0001-22, headquartered in Porto Alegre, Rio Grande do Sul, Brazil (“Equalize”, “TECSEM”, “we”, “us”, or “our”).
By creating an account, accessing, or using Equalize, you represent that you have read, understood, and agreed to these Terms. If you do not agree with any provision of these Terms, you must not use the Platform.
1. Purpose and Nature of the Service
Equalize is a platform designed to support the organization, visualization, and monitoring of financial and asset-related information for informational, educational, and personal use.
Equalize does not provide financial advisory services, investment advisory services, securities analysis, portfolio management, financial intermediation, or any other activity reserved to licensed or regulated professionals or institutions, unless expressly stated otherwise.
No content, calculation, projection, report, alert, feature, or information displayed on the Platform constitutes personalized investment advice, an offer of securities or financial products, a promise of returns, or legal, accounting, or tax advice.
2. Eligibility and International Use
You represent that you have the legal capacity to enter into this agreement and use the Platform in accordance with the laws applicable in your jurisdiction. If you are acting on behalf of a legal entity, you represent that you have the authority to bind such entity to these Terms.
The Platform may be accessed and used worldwide, subject to local legal and regulatory restrictions. You are solely responsible for determining whether the use of Equalize is permitted in your jurisdiction and for complying with any applicable local laws.
3. License to Use
Subject to your compliance with these Terms, Equalize grants you a limited, non-exclusive, revocable, non-transferable, and non-sublicensable license to access and use the Platform for personal and lawful purposes.
This license does not transfer to you any intellectual property rights in the Platform, including its code, interfaces, trademarks, reports, algorithms, visual elements, databases, text, graphics, or other components.
Except where expressly permitted by applicable mandatory law, you may not:
- copy, reproduce, distribute, sublicense, sell, lease, or commercially exploit the Platform;
- modify, adapt, translate, decompile, disassemble, reverse engineer, or attempt to derive the source code of the Platform;
- bypass technical protection measures or usage restrictions;
- use robots, scrapers, abusive automation, or similar means to extract data or impair the stability of the Service;
- use the Platform for unlawful, fraudulent, abusive purposes, or in violation of third-party rights.
4. Registration, Account, and Security
Certain features may require registration. You agree to provide accurate, complete, and up-to-date information.
You are responsible for maintaining the confidentiality of your login credentials and for all activity carried out through your account, unless unauthorized use occurred without fault attributable to you.
Equalize may adopt verification, security, anti-fraud, and account protection measures, including limiting or suspending access where it identifies technical risk, suspected violation of these Terms, or improper use of the Platform.
5. User-Provided Data and Third-Party Integrations
The Platform may allow manual data entry, data import, and integration with third-party services, institutions, APIs, brokers, banks, or other providers.
You acknowledge that:
- the quality of the results depends in part on the accuracy of data provided by you or by third parties;
- third-party data may be delayed, unavailable, inconsistent, technically limited, or discontinued;
- Equalize does not control, audit in real time, or fully guarantee the accuracy, completeness, or timeliness of data obtained from third parties.
The existence of integrations, links, or references to third parties does not imply endorsement, partnership, warranty, or responsibility by Equalize regarding such third parties’ products, services, policies, or practices.
6. No Advisory Relationship and User Decision-Making
You are solely responsible for evaluating the information displayed on the Platform and for making your own financial, business, asset-related, or strategic decisions.
Equalize does not guarantee that reports, indicators, estimates, simulations, rankings, or visualizations are sufficient, appropriate, or compatible with your goals, risk profile, regulatory needs, or financial situation.
Before making relevant decisions, especially investment, tax, corporate, contractual, or otherwise high-impact financial decisions, you should seek independent verification and, where appropriate, advice from a qualified professional.
7. Restriction on Use in Critical Situations
The Platform is not designed for critical, real-time, or high-reliability uses in which failures, delays, downtime, calculation errors, data inconsistencies, or interruptions may result in significant harm.
Without limitation, Equalize should not be used as the sole source for:
- short-term trading or latency-sensitive operations;
- automated execution of financial orders;
- urgent high-value business decisions without independent validation;
- contexts requiring uninterrupted availability, absolute accuracy, or real-time response.
8. Free Plan, Subscription, and Features
Equalize may be made available through mobile app stores and on the web.
Free use of the Platform may be subject to functional and operational limitations. Under the free plan, the user may use the Service subject to the following limits:
- registration of up to 1 (one) budget;
- registration of up to 2 (two) bank accounts for tracking purposes;
- no voice transaction entry feature;
- no PDF, CSV, or PNG file import feature;
- report and chart access limited to 3 (three) months of historical data.
To unlock the full features of the Platform, the user must subscribe to a monthly subscription, subject to the commercial terms in effect at the time of purchase.
Prices, payment methods, renewal terms, billing, cancellation rules, and any applicable taxes will be presented to the user at the time of subscription, whether on the web or through the relevant app store, depending on the purchase channel.
Where the subscription is purchased through a third-party app store, payment processing, renewal, cancellation, and refunds may also be subject to the terms, policies, and procedures of the respective distribution platform.
Equalize may modify, expand, reduce, or reorganize the features included in the free plan or subscription, subject to applicable consumer rights and legal obligations.
9. Availability, Changes, and Discontinuation
Equalize may, at any time and at its discretion, modify, update, suspend, restrict, or discontinue, in whole or in part, features, integrations, plans, resources, layout, access criteria, or the Platform itself.
Where reasonably possible, material changes will be communicated through reasonable means, such as notices in the app, on the website, or via the registered email address. Certain technical, operational, regulatory, or security-related changes, however, may occur without prior notice.
Equalize does not guarantee that the Platform will be continuously available, error-free, secure, or uninterrupted.
10. Intellectual Property
All intellectual property rights related to Equalize remain reserved to Equalize and/or its licensors, as applicable.
Your use of the Platform does not grant you any rights to trademarks, trade names, logos, domain names, layout, databases, analytical models, editorial content, software, or any other protected assets.
11. Privacy and Data Protection
The processing of personal data in connection with the Platform will comply with applicable law, including the Brazilian General Data Protection Law (Lei Geral de Proteção de Dados Pessoais - LGPD, Law No. 13,709/2018) where applicable, as well as Equalize’s Privacy Policy.
By using the Platform, you acknowledge that certain data may be processed for authentication, security, fraud prevention, support, product improvement, compliance with legal obligations, and performance of contracted services.
If the Platform is used outside Brazil, personal data processing may involve international operations, subject to the legal bases and mechanisms permitted by applicable law.
12. Disclaimer of Warranties
To the fullest extent permitted by applicable law, the Platform is provided “as is” and “as available.”
Equalize makes no express, implied, or statutory warranties, including, without limitation, warranties of uninterrupted availability, fitness for a particular purpose, absolute accuracy, error-free operation, continuous updates, compatibility with any device, complete security, or achievement of specific results.
Without prejudice to any non-waivable rights provided by law, you acknowledge that your use of the Platform is at your own risk.
13. Limitation of Liability
To the fullest extent permitted by applicable law, Equalize shall not be liable for indirect, incidental, special, punitive, or consequential damages, loss of profits, loss of opportunity, loss of revenue, loss of data, losses arising from user decisions, market fluctuations, third-party failures, unavailability of integrations, or interruption of the Service.
In particular, Equalize shall not be liable for financial, asset-related, or investment losses arising from:
- interpretation of data, reports, charts, alerts, or simulations;
- incorrect, incomplete, or outdated information entered by the user or provided by third parties;
- temporary unavailability of the Platform;
- failures in connectivity, infrastructure, APIs, financial institutions, brokers, or integrated services.
Where liability is legally imposed on Equalize, such liability shall be limited to direct damages demonstrably caused by conduct attributable to Equalize, subject to the limitations and exclusions permitted under applicable law.
Nothing in these Terms excludes or limits liability that cannot be excluded or limited under applicable law.
14. Suspension and Termination
Equalize may suspend, restrict, or terminate user access, with or without prior notice, in the event of:
- breach of these Terms;
- suspected fraud, abusive use, or unlawful conduct;
- risk to the security of the Platform, third parties, or the user;
- legal or regulatory requirement, or order from a competent authority.
You may stop using the Platform at any time. Provisions that by their nature should survive termination shall remain in effect, including those relating to intellectual property, liability, dispute resolution, and data protection.
15. Changes to These Terms
Equalize may revise these Terms from time to time. The current version will always indicate its last updated date.
If a material change is made, Equalize may use reasonable means to notify users. Continued use of the Platform after the updated version takes effect will constitute renewed acceptance of the Terms, to the extent permitted by applicable law.
16. Governing Law and Dispute Resolution
These Terms shall be governed by the laws of the Federative Republic of Brazil.
Without prejudice to mandatory consumer protection rules, public policy rules, or other non-waivable rights that may apply in the user’s jurisdiction, the courts of Porto Alegre, State of Rio Grande do Sul, Brazil shall have jurisdiction over disputes arising out of or related to these Terms, except where applicable law mandatorily requires a different venue.
